Kevin B. Hawkins is a partner of VILAF. He has more than ten years experience as a registered foreign lawyer in Vietnam. Based in Ho Chi Minh City, Kevin advises clients on a variety of matters including business formation, oil, gas & power, education, trading & distribution, mining, mergers & acquisitions, property development, employment, corporate governance and international trade.

Kevin is a US lawyer (admitted in Washington, DC) with significant project development experience in the US including preparation and negotiation of project agreements for the development of a proposed LNG receiving terminal in The Bahamas, a 500 MW joint venture electric power plant in Turkey, and a 900 MW electric power plant in Mississippi, United States.

In Vietnam, Kevin has advised on various real property development, infrastructure, and energy-related projects. Kevin recently advised a multinational consortium in its bid to develop the 1200MW Nghi Son 2 power project. He is a frequent presenter at conferences on energy, M&A, global trade and employment in Vietnam.

  • Advising a foreign-invested property fund on the acquisition of 49% of the issued share capital to achieve ultimate ownership of 2 phases in a mixed use residential development project in Vietnam.
  • Advised investor on US$7.5 million strategic investment being acquisition of a 17% shareholding in a Vietnamese property development company.
  • Advised the a Japanese multinational company on the restructuring, including merger, acquisition of assets and liquidation and dissolution of the two of its subsidiaries in Vietnam - one being a wholly foreign owned enterprise and the other being a multi member limited liability company.
  • Acted for a foreign listed company in the acquisition of a minority interest in a state owned hydro-power company in Vietnam that operates several hydro-power plants.

Litigation/Dispute Resolution

  • Advising on foreign property developer regarding a dispute under joint venture agreement under which the parties agreed to form a joint venture limited liability company to, among other things, develop a mixed-use residential/commercial project.
  • Represented Vietnamese fish exporters in reversing an antidumping duty ruling by the US Department of Commerce on certain frozen fish fillets from Vietnam. Secured a duty rate of 0 percent, reversing a preliminary ruling that set rates at more than 120 percent, saving the clients millions in potential duties and enabling them to continue their US operations.


  • Advising an international consortium on bidding for a BOT project to build and operate a 1200 MW coal-fired power facility located at Nghi Son Power Complex in Thanh Hoa Province, Vietnam and assisting the consortium in its discussions with the Ministry of Industry and Trade, Electricity of Vietnam and any other relevant Vietnamese authorities.
  • Advising a Thailand-based energy client on setting up a joint venture energy and utility supply service company with a Vietnamese party to supply utilities to a petrochemical complex in Vietnam on a long-term basis.
  • Acted for a Korean developer on a 340 hectare new town development in Nha Be as well as on a US$340 million road project to be built by the same developer on a Build-Transfer basis under Vietnam's BOT regulations in which the developer will receive land in exchange to the road. Shortlisted by IFLR for "Project Finance Deal of the Year" in 2008.

  • Advised Israeli based property development company on structure documentation, licensing, land acquisition for the US$78 million mixed used development with office, retail and serviced apartment components in Ho Chi Minh City, Vietnam
  • Advised investor on its US$80 million residential real estate development project in Hanoi and on a number of REIT property transactions.
