  • M&A: Advising KKR, IFC and other investors in equity and convertible loans to Masan; Advising BNP Paribas, SMBC in equity investments in Vietnaemse banks (OCB and Eximbank); Advising SMBC Nikko Cordial Securities Company in acquiring shares of PSI, a securities broker under PetroVietnam; Advising Daio Paper Corporation in relation to acquisition of Saigon Paper; Advising Mekong Bank in selling shares to Temasek; Advising Thien Minh in selling shares to IFC; Advising UniCharm in acquiring shares of Diana; Advising foreign investors in foods and consumer goods;
  • Equitised SOEs: Advising foreign bidders in relation to legal due diligence works over Vietcombank and PV Gas; Advising Avenue Capital in equity financing for acquiring shares of Vinaconex’s two water subsidiaries;
  • Property: Advising Woori Bank for the financing of US$500 million Keangnam Hanoi Landmark Building; Advising lenders for loans of US$288 million Habico Tower and US$50 million Hanoi Plaza Hotel; Advising various foreign investors in relation to their property development projects in Vietnam;
  • Power: Phu My 2.2 BOT Gas Fired Power Project, Nghi Son 2 BOT Coal Fired Power Project, Kien Luong 1 Coal Fired Power Project, Vung Ang I Coal Fired Power Project, Vung Ang II BOT Coal Fired Power Project, Vinh Tan 1 BOT Coal Fired Power Project, Vinh Tan 3 BOT Coal Fired Power Project;
  • Ports: Advising international lenders and sponsors in relation to project finance for three international container terminals developed by SPCT, CMIT and SP-PSA;
  • Capital market: Singapore listed convertible bonds issued by Vincom (US$100 million); Convertible loans to Vincom and Masan; Singapore listed straight bonds issued by HAGL (US$90 million); international bonds to be issued by Vinacomin; VND bonds arranged by Citibank, SCB, ANZ and Barclays;
  • Financing: Advising SCB in relation to a syndicated term loan of US$430 million to PetroVietnam; Advising Citi in relation to US$400 million loan to Nhon Trach 2 Power Project Company; Advising BNP Paribas as co-arranging US$540 million to VNPT for the financing of telecommunication network expansion; Advising international lenders in various loans with a government guarantee issued by Ministry of Finance;
  • Telecoms: Advising Vimpelcom Group in relation to GTEL Mobile; Advising FPT in relation to EVN Telecoms;
  • Aviation: Acting for the lenders in relation to the financing and the first mortgage of two Fokker aircrafts in Vietnam and the finance leasing of ten Airbus aircrafts to VNA; Acting for a foreign lessor in relation to the operating lease of one Airbus A321 aircraft to VNA.
